PROMOTIONS – TERMS AND CONDITIONS

1. General

1.1 These terms and conditions (“Terms”) govern all promotions, offers and discounts (collectively, a “Promotion”) offered through any website or platform owned and/or operated by GRC International Group Limited or any company within the GRC International Group (collectively, the “Website”).

1.2 The Promoter is: GRC International Group Limited, a company registered in England with company registration number 11036180 and having its registered office at Unit 3, Clive Court, Bartholomew’s Walk, Cambridgeshire Business Park, Ely, Cambridgeshire, CB7 4EA (the “Promoter”).

1.3 Additional terms relating to, and instructions for, participation in any specific Promotion are stated in the specific Promotion offer (“Specific Terms”). Relevant Specific Terms are deemed to form part of these Terms and by participating in a Promotion, you are deemed to have read, and accepted to be bound by, these Terms inclusive of any applicable Specific Terms.

1.4 In the event of any conflict or inconsistency with any other communications, including advertising or promotional materials, the terms of these Terms shall prevail.

2. Eligibility

2.1 Unless otherwise stated in the Specific Terms relevant to a given Promotion, our Promotions are open to residents of the United Kingdom, European Union and United States of America who are aged 18 or older.

2.2 Employees, contractors, affiliates, and immediate family members of the Promoter, or any company, agent or other party professionally associated with the Promotion or the Promoter, are not eligible to participate.

2.3 The Promoter reserves the right to verify eligibility for any Promotion, including, but not limited to, to require a participant to provide address and identity details (which the participant must provide within 7 days of request).

3. Promotion Period

3.1 The Promotion start and end dates will be stated in the Specific Terms for the given Promotion.

3.2 The Promoter reserves the right to withdraw, end, modify or extend any Promotion at any time without prior notice, provided such changes do not adversely impact or unfairly disadvantage participants who have already entered.

4. Participation Requirements

4.1 Details of how to participate in any given Promotion shall be set out in the relevant Specific Terms relevant to the given Promotion.

4.1 Participation in a Promotion may require a participant to make a submission to us via our Website or the Internet. Numerous factors outside the control of the Promoter may interfere with the operation of our Website and/or the Internet. The Promoter is not responsible for and does not therefore guarantee continuous, uninterrupted or secure access to the Internet or our Website.

5. Discounts, Offers and Vouchers

5.1 Promotional discounts, codes and vouchers are valid only for the specified period and cannot be exchanged for cash or used in conjunction with any other offer unless stated otherwise.

5.2 Vouchers shall only be available in the currency stated in the relevant Specific Terms.

5.3 If a Promotion is applied to a product or service that is later returned, cancelled or refunded, any associated discount or benefit will be void.

5.4 Misuse of promotional codes, including sharing, duplication or use outside the intended purpose, may result in cancellation of the Promotion.

6. Liability and Disclaimers

6.1 The Promoter will not be liable for any loss (including, without limitation, indirect, special or consequential loss or loss of profits), expense or damage that is suffered or sustained (whether or not arising from any person’s negligence) in connection with a Promotion or accepting or using a discount, offer or voucher, except for any liability that cannot be excluded by law, in which case that liability is limited to the minimum allowable by law. By participating in the Promotion, participants agree to release and hold harmless the Promoter and its respective affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees and agents from and against any claim or cause of action arising out of participation in the Promotion.

6.2 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable laws in the United Kingdom, European Union or United States of America.

6.3 If, for any reason, any aspect of a Promotion is not capable of running as planned, including by reason of infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failures or any other cause beyond the control of the Promoter that corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion, the Promoter may in its sole discretion modify or suspend the Promotion or invalidate any affected entries. If an act, omission, event or circumstance occurs that is beyond the reasonable control of the Promoter and which prevents the Promoter from complying with these Terms, the Promoter will not be liable for any failure to perform or delay in performing its obligations.

6.4 The Promoter may withdraw a participant’s entitlement to participate in a Promotion or may disqualify a participant where there are reasonable grounds to believe there has been a breach by a participant of the Terms.

6.5 If any of the clauses contained in the Terms should be determined to be illegal, invalid or otherwise unenforceable then it shall be severed and deleted without prejudice to the remaining clauses of the Terms, which will survive and remain in full force and effect.

6.6 The Promoter’s decision is final with regard to all matters relating to the Promotion.

7. Tax Information

7.1 All national, federal, state, local, and other tax implications arising as a result of participation in a Promotion, as well as any other costs and expenses associated with participation in a Promotion, are the sole responsibility of the applicable participant.

8. Data Protection

8.1 The Promoter will only use the participant’s personal details supplied to enable participation in the Promotion, for the administration of the given Promotion and for no other purpose, unless the Promoter has the participant’s consent.

8.2 By participating in the Promotion, participants acknowledge that their personal data will be used as described in our Privacy Notice, which can be accessed here.

8.3 Where participation in a Promotion involves the participant providing a review of our products or services, the participant agrees to the Promoter (including our group companies and affiliate companies) editing, publishing and using the participant’s personally identifiable information or personal data, including their review, name, location, job role and employer name on our Website and for the promotion of the Promotion and that without any payment to the participant(s).

9. Governing Law and Jurisdiction

9.1 These Terms are governed by the laws of England and Wales, the Republic of Ireland, or the State of New York, depending on the jurisdiction applicable to the relevant Website running the relevant Promotion. The courts of the relevant jurisdiction have exclusive authority over any disputes relating to the relevant Promotion.

9.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of the relevant jurisdiction as determined under clause 9.1.

9.3 Participants in the European Union may have the right to bring claims in their home country under EU consumer protection laws.

10. Changes and Termination

10.1 The Promoter reserves the right to cancel or amend any Promotion and these Terms at any time where necessary to do so. Any changes to these Terms will be published on the Website and will take effect immediately upon posting.
